Professional manufacturing partnership terms for global importers, wholesalers, and retailers
Agreement Overview
These Terms of Service ("Terms") govern your business relationship with SoundCore Manufacturing ("Company", "we", "us", or "our") regarding the purchase, manufacturing, and distribution of Bluetooth speakers, karaoke microphones, and related audio products. By engaging in business with us, you ("Customer", "you", or "your") agree to be bound by these terms.
1. Business Eligibility
Our services are exclusively available to qualified business entities including:
- Licensed importers with valid import/export documentation
- Established wholesalers with verifiable business credentials
- Authorized retailers with appropriate business licenses
- Distributors with proven market presence
We reserve the right to verify business credentials and may require additional documentation before processing orders.
2. Product Orders & Manufacturing
Order Process: All orders must be placed through our authorized sales representatives with detailed product specifications, quantities, and delivery requirements.
Minimum Order Quantities: MOQ requirements vary by product category and will be specified in your quotation.
Production Timeline: Manufacturing lead times range from 15-45 days depending on product complexity and order volume. Custom orders may require additional time.
Order Modifications: Changes to confirmed orders may be accepted up to 48 hours after order confirmation, subject to additional charges.
3. Pricing & Payment Terms
Pricing: All prices are quoted in USD and are valid for 30 days from quotation date. Prices exclude shipping, insurance, and applicable taxes.
Payment Terms:
- New customers: 100% advance payment or Letter of Credit
- Established customers: 30% deposit, 70% before shipment
- Payment methods: T/T, L/C, or other mutually agreed methods
Late Payment: Overdue accounts may incur interest charges of 1.5% per month and may result in shipment delays.
4. Quality Assurance & Warranties
Quality Standards: All products are manufactured according to ISO 9001 standards and undergo comprehensive quality testing.
Product Warranty: We provide a 12-month manufacturer warranty covering defects in materials and workmanship under normal use conditions.
Quality Claims: Any quality issues must be reported within 7 days of receipt with supporting documentation and photos.
Warranty Exclusions: Damage due to misuse, normal wear, unauthorized repairs, or force majeure events are not covered.
5. Shipping & Delivery
Delivery Terms: Standard terms are EXW (Ex Works) from our factory. FOB, CIF, and other Incoterms available upon request.
Shipping Arrangements: Customers may arrange their own shipping or use our recommended freight forwarders.
Delivery Schedule: We maintain a 99.5% on-time delivery rate and provide tracking information for all shipments.
Risk Transfer: Risk of loss transfers to customer according to agreed Incoterms.
6. Intellectual Property
Product Designs: Our standard product designs and specifications remain our intellectual property.
Custom Designs: Customer-provided designs and specifications remain customer property. We maintain confidentiality of all custom designs.
Trademark Usage: Customers may not use our trademarks without written authorization. We respect customer trademark rights.
Patent Compliance: All products comply with relevant patent requirements in target markets.
7. Limitation of Liability
Maximum Liability: Our total liability for any claim shall not exceed the value of the specific order giving rise to the claim.
Consequential Damages: We are not liable for indirect, incidental, or consequential damages including lost profits or business interruption.
Product Liability: Customer assumes responsibility for compliance with local regulations and end-user safety in their markets.
8. Compliance & Regulations
Export Compliance: We comply with all applicable export regulations and provide necessary documentation.
Product Certifications: Products meet CE, FCC, RoHS, and other relevant certifications as specified.
Import Responsibilities: Customers are responsible for import duties, taxes, and compliance with local regulations.
Anti-Corruption: We maintain strict anti-corruption policies and expect the same from our partners.
9. Dispute Resolution
Governing Law: These terms are governed by the laws of the People's Republic of China.
Dispute Resolution: Disputes shall be resolved through friendly negotiation. If unsuccessful, disputes will be submitted to arbitration under China International Economic and Trade Arbitration Commission (CIETAC) rules.
Jurisdiction: The courts of Guangzhou, China shall have exclusive jurisdiction over any legal proceedings.
10. General Provisions
Term Modifications: We reserve the right to update these terms with 30 days' written notice to existing customers.
Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control including natural disasters, government actions, or supply chain disruptions.
Severability: If any provision is deemed invalid, the remaining terms shall continue in full force.
Entire Agreement: These terms, together with specific order agreements, constitute the entire agreement between parties.
