Clear terms governing our B2B audio manufacturing partnerships and services

These Terms of Service govern your business relationship with Shuer (ShenZhen) Electronics Co., Ltd.

1. Agreement Acceptance

By engaging with Shuer Audio for OEM/ODM audio manufacturing services, you agree to these terms and conditions. This agreement becomes effective upon order confirmation or contract signing.

These terms apply to all business relationships including product development, manufacturing, quality control, and delivery services.

2. Manufacturing Services

Service Scope: We provide comprehensive OEM/ODM manufacturing solutions for karaoke speakers, microphones, and related audio products across our 8 dedicated production lines.

Customization: Logo placement, packaging design, and custom ID implementation services are available subject to technical feasibility and minimum order quantities.

Quality Standards: All products comply with ISO 9001 standards and international certifications including CE, FCC, RoHS, and REACH requirements.

3. Order Process & Payment

Order Requirements

  • • Minimum order quantities as specified per product category
  • • 30-50% deposit required upon order confirmation
  • • Balance payment before shipment
  • • Lead times: 15-45 days depending on product complexity

Payment terms are Net 30 for established partners with approved credit. New clients require advance payment or letter of credit arrangements.

4. Quality Assurance

Quality Control: Each production line is managed by personnel with 5+ years experience. We conduct 100% factory inspection plus ISO 2859 sampling protocols.

Warranty: 12-month warranty on manufacturing defects for products used under normal conditions. Warranty covers material and workmanship issues.

Returns: Defective products may be returned within 30 days of delivery with prior authorization. Customer bears return shipping for non-defective items.

5. Intellectual Property

Customer IP: All customer-provided designs, logos, and specifications remain customer property. We maintain strict confidentiality and non-disclosure protocols.

Manufacturing IP: Our manufacturing processes, techniques, and proprietary methods remain Shuer Audio property.

Joint Development: For collaborative product development, IP ownership will be defined in separate development agreements.

6. Liability & Limitations

Liability Cap: Our liability is limited to the value of the specific order in question, excluding consequential or indirect damages.

Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control, including natural disasters, government actions, or supply chain disruptions.

7. Compliance & Certifications

All products meet international regulatory requirements including CE, FCC, RoHS, and REACH standards. Customers are responsible for ensuring compliance with their local market requirements.

We provide necessary documentation and certificates to support customs clearance and regulatory approval in destination countries.

8. Termination

Either party may terminate ongoing agreements with 30 days written notice. Existing orders in production will be completed unless otherwise agreed.

Immediate termination is permitted for material breach, insolvency, or failure to meet payment obligations.

These terms are governed by the laws of the People's Republic of China. Disputes will be resolved through arbitration in Shenzhen.
